These Terms of Service ("Terms") are a binding agreement between you and Commandly ("Commandly," "we," "us," or "our") governing your access to and use of the Commandly website, dashboard, bot-hosting infrastructure, AI assistant, and related services (collectively, the "Service"). By creating an account, signing in with Discord, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference.
If you are using the Service on behalf of an organization, a Discord server, or another individual, you represent that you have the authority to bind that organization or individual to these Terms, and "you" refers to both you and that entity. If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Commandly is a hosted platform that lets users build, deploy, and manage Discord bots without writing code from scratch. Using natural-language prompts, our AI assistant generates slash commands and event handlers, which Commandly then hosts and runs on your behalf. The Service also includes a template marketplace, usage analytics, version history, and related account and billing tools.
Commandly is an independent platform and is not affiliated with, endorsed by, or sponsored by Discord Inc. Your use of any bot built with Commandly is also subject to Discord's Terms of Service, Community Guidelines, and Developer Terms of Service. A bot's continued ability to run depends on Discord's own platform, API availability, and policies, which are entirely outside of Commandly's control.
3. Eligibility
You must be at least 13 years old to use Commandly, and if you are under the age of majority in your jurisdiction, you may only use the Service with the involvement and consent of a parent or legal guardian. Because Commandly requires signing in with a Discord account, you must also meet Discord's own minimum age requirement and comply with Discord's terms in order to use our Service. By using Commandly, you represent that you meet these requirements and that you are not barred from using the Service under the laws of your country of residence or any other applicable jurisdiction.
4. Accounts & Security
Commandly accounts are created and authenticated through Discord OAuth — we do not maintain separate Commandly passwords. You are responsible for maintaining the security of your Discord account, your Commandly session, and any device used to access the Service, and for all activity that occurs under your account, whether or not you authorized it.
When you connect a Discord bot token to Commandly, that token is encrypted at rest using AES-256-GCM and is never exposed in the browser or to Commandly staff in plaintext. You remain solely responsible for the security of your own bot token before it is provided to us — for example, ensuring it has not already been leaked elsewhere — and for regenerating it via the Discord Developer Portal if you believe it has been compromised.
You must notify us promptly if you become aware of any unauthorized use of your account. Commandly is not liable for any loss or damage arising from your failure to safeguard your account credentials or bot tokens.
5. Subscription Plans
Commandly offers a Free plan and one or more paid subscription plans (currently marketed as Pro and Business). Each plan's specific limits — including the number of bots, commands, events, scheduled tasks, collaborators, and daily AI credits included — are described in your account's billing settings, which may be updated from time to time as described in Section 17. That page, not this document, is the authoritative source for current plan features and limits.
We may also offer optional one-time purchases, such as bonus AI credit top-ups, which are billed separately from your subscription and are not refundable except as described in Section 7.
6. Billing & Payment
Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select) through our payment processor, Stripe. By providing a payment method, you authorize Commandly and Stripe to charge that payment method on a recurring basis until you cancel. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand in accordance with Section 8.
You are responsible for keeping your payment information current and for any taxes, foreign transaction fees, or currency conversion charges associated with your payment method. If a renewal payment fails, we may retry the charge, downgrade your account to the Free plan, or suspend paid features until payment is resolved. We may change our prices at any time; for existing subscribers, a price change will take effect no earlier than your next renewal, and we will make reasonable efforts to notify you in advance.
7. Refunds & Chargebacks
All subscription and credit-purchase payments are non-refundable except as described in this section or where required by applicable law. If you believe you were charged in error, or you are unsatisfied with a purchase, the correct first step is to submit a request through our refund request page, available from your account. Refund requests are reviewed individually, and you will be notified by email once a decision has been made. Approving a refund is at Commandly's discretion unless otherwise required by law.
Chargebacks and payment disputes
Initiating a chargeback, dispute, or reversal of a Commandly payment directly with your bank or card issuer — instead of contacting us or using our refund request process — is treated as a serious violation of these Terms, regardless of whether the chargeback is ultimately decided in your favor.
Filing a chargeback will result in the immediate suspension of your Commandly account, including all bots associated with it, while the dispute is investigated. This applies to chargebacks on subscription charges, renewal charges, and one-time credit purchases alike.
A suspended account's bots are taken offline and its dashboard access is restricted until the matter is resolved. If a chargeback is upheld by your card issuer, or if you have a history of disputing legitimate charges, Commandly reserves the right to permanently terminate your account, refuse to reinstate access even after payment is recovered by other means, and refuse future service to you. Outstanding fees may also be pursued through other lawful means. We encourage you to contact us or file a refund request before disputing a charge with your bank — it is faster, and it avoids suspension entirely.
8. Cancellation
You may cancel your paid subscription at any time from your billing settings. When you cancel, your paid plan features remain active until the end of your current billing period, after which your account reverts to the Free plan's limits. Cancelling does not entitle you to a refund for the remainder of the current billing period, except as described in Section 7. Your bots, commands, and other data are not deleted when you cancel or downgrade — they are simply subject to Free plan limits going forward.
9. Acceptable Use Policy
You agree to use Commandly only for lawful purposes and in a manner consistent with this policy. You may not use the Service, or any bot built with it, to:
Violate any applicable law, or Discord's Terms of Service, Community Guidelines, or Developer Terms;
Spam, phish, mass-mention, or send unsolicited messages to Discord users or servers;
Harass, threaten, defame, or incite violence against any individual or group;
Distribute malware, self-bots, user-token automation, or tools designed to abuse or circumvent Discord's platform;
Attempt to gain unauthorized access to Commandly's systems, other users' accounts, bots, or bot tokens;
Reverse-engineer, decompile, scrape, or attempt to extract the underlying source code or models behind the Service, except as permitted by applicable law;
Interfere with, overload, or disrupt Commandly's infrastructure or the experience of other users, including through excessive automated requests;
Resell, sublicense, or offer Commandly's hosting or AI-generation capability as your own competing service without our prior written consent;
Create multiple accounts to evade plan limits, bans, suspensions, or to abuse referral or promotional incentives; or
Misrepresent your identity or affiliation, including impersonating Commandly staff.
We reserve the right to investigate suspected violations and to take any action described in Section 15, including suspension or termination, in response to a violation of this policy.
10. Your Content & Bot Code
As between you and Commandly, you retain ownership of the commands, events, configuration, and other content you create or generate using the Service ("Your Content"). By submitting Your Content to Commandly, you grant us a non-exclusive, worldwide, royalty-free license to host, store, execute, back up, and display Your Content solely as necessary to operate and provide the Service to you.
You are solely responsible for Your Content and for the behavior of any bot you deploy through Commandly, including commands or events written with the help of our AI assistant. You represent that you have the necessary rights to any content, text, images, or other material you configure your bot to use or send, and that Your Content does not infringe the rights of any third party or violate these Terms.
11. AI-Generated Content
Commandly's AI assistant generates command and event code based on your natural-language instructions. AI-generated output can be incorrect, incomplete, insecure, or behave in ways you did not intend, and Commandly does not warrant that AI-generated code is accurate, error-free, or fit for any particular purpose. You are responsible for reviewing, testing, and — where you have the ability to edit code directly — verifying any AI-generated command or event before relying on it in a live Discord server, particularly for commands that affect server moderation, permissions, or member data.
12. Marketplace
Commandly's marketplace allows eligible users to submit bot templates for other users to browse and clone into their own dashboard, and allows any signed-in user to clone an approved template. Submitted templates are reviewed before being listed publicly, but review does not constitute an endorsement or a guarantee of quality, security, or fitness for purpose. If you submit a template, you represent that you have the right to share it and that it does not violate Section 9 of these Terms. If you clone a template, you are responsible for reviewing and testing it, and for any way you configure or modify it, in the same manner as any other content on your account under Section 10.
We reserve the right to remove any marketplace listing, at any time and without notice, that we determine violates these Terms or is otherwise inappropriate.
13. Commandly's Intellectual Property
The Service — including its software, platform design, user interface, branding, logos, and documentation, but excluding Your Content — is owned by Commandly and its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited right to access and use the Service as permitted under these Terms, no other rights are granted to you. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you use our name, logo, or branding without our prior written consent.
14. Third-Party Services
The Service relies on and integrates with third-party providers, including Discord (authentication and bot connectivity), Stripe (payment processing), and one or more infrastructure and hosting providers used to run the Service and deployed bots. Your use of the Service is also subject to the applicable terms and policies of these providers. Commandly is not responsible for the availability, acts, omissions, or policies of any third-party provider, including outages, API changes, or policy enforcement actions taken directly by Discord against your bot or account.
15. Suspension & Termination
We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, for reasons including but not limited to:
Violation of these Terms, including the Acceptable Use Policy in Section 9;
Initiating a chargeback, payment dispute, or reversal of any charge made by Commandly, as described in Section 7;
Failure to pay any fees owed for a paid plan;
Use of the Service in a way that creates legal liability for Commandly, or that we reasonably believe is fraudulent, abusive, or harmful to Commandly, other users, or Discord itself;
A request or requirement to do so from Discord or a law enforcement or regulatory authority; or
Extended account inactivity, subject to reasonable advance notice where practical.
Where practical and where the circumstances do not require immediate action (such as active abuse or a payment dispute), we will make reasonable efforts to warn you before suspending or terminating your account. You may also delete your own account at any time from your account settings.
16. Effect of Termination
Upon suspension, your bots may be taken offline and your dashboard access restricted until the suspension is lifted. Upon termination, your bots will be taken offline, your right to use the Service ends immediately, and we may delete Your Content and account data after a reasonable retention period, except where we are required or permitted to retain it (for example, financial records or information relevant to an active payment dispute), consistent with our Privacy Policy. Termination does not entitle you to a refund of any prepaid, unused portion of a subscription unless required by law or expressly approved under Section 7, and termination for a violation of these Terms, non-payment, or a chargeback never entitles you to such a refund.
Sections of these Terms that by their nature should survive termination — including Sections 10, 11, 13, 18, 19, 20, and 22 — will survive.
17. Service Availability & Changes
We aim to keep Commandly and hosted bots available as continuously as reasonably possible, and publish real-time and historical uptime information on our status page, but we do not guarantee uninterrupted, error-free, or continuous availability of the Service. Free-plan bots are automatically idled after a period of inactivity to manage shared infrastructure costs, as described on our pricing page, and restart automatically or with one click.
We may add, change, or discontinue any feature of the Service, including specific plan limits, at any time. We will make reasonable efforts to communicate material changes that negatively affect paid subscribers in advance, but reserve the right to make changes immediately where necessary for security, legal compliance, or the stability of the Service.
18. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COMMANDLY DOES NOT WARRANT THAT THE SERVICE, ANY BOT HOSTED THROUGH IT, OR ANY AI-GENERATED CODE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE, AND DEPLOY ANY BOT BUILT WITH IT, AT YOUR OWN RISK.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMANDLY AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMANDLY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COMMANDLY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (USD $50). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
20. Indemnification
You agree to defend, indemnify, and hold harmless Commandly and its officers, employees, and contractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content or any bot you deploy through the Service; (b) your violation of these Terms, including the Acceptable Use Policy; (c) your violation of Discord's terms or policies; or (d) your violation of any law or the rights of a third party.
21. Feedback
If you send us feedback, suggestions, or ideas about the Service, you grant Commandly a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Service, without any obligation to compensate you or to keep the feedback confidential.
22. Governing Law & Disputes
These Terms are governed by the laws of [jurisdiction to be inserted], without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in [venue to be inserted], and you consent to the personal jurisdiction of those courts, except where applicable law requires otherwise.
23. General Provisions
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right. You may not assign or transfer these Terms or your account without our prior written consent; we may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Commandly regarding the Service and supersede any prior agreements.
24. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where practical, provide additional notice (such as an in-app or email notice) before the changes take effect. Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may cancel any active subscription as described in Section 8.
